Terms of Service

These Terms of Service (“Terms”) govern your use of the Baby Nova mobile application (“Baby Nova” or the “App”), published by D2X Enterprises LLC (“D2X Enterprises,” “we,” “us,” or “our”). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Who may use Baby Nova

Baby Nova is intended for use by adults — parents and guardians — to track a child’s developmental milestones. You must be at least the age of majority in your jurisdiction (or have the legal capacity to enter into these Terms) to use the App. The App is not intended for use by children.

2. License to use the App

Baby Nova is provided free of charge. Subject to these Terms, D2X Enterprises grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on devices you own or control, solely for your own personal, non-commercial, family use.

This license does not transfer any ownership. All rights not expressly granted are reserved by D2X Enterprises.

3. Acceptable use

You agree not to:

use the App for any unlawful purpose or in violation of these Terms;
copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the App;
remove, obscure, or alter any proprietary notices;
interfere with or disrupt the integrity or performance of the App; or
use the App in any manner that could harm, disable, or impair it or infringe the rights of others.

4. Medical and educational disclaimer

Please read this section carefully.

Baby Nova is an educational and informational tracking tool only. The milestone content is based on publicly available developmental checklists from the U.S. Centers for Disease Control and Prevention (CDC).

Baby Nova is not a medical device, and it is not intended to diagnose, treat, cure, or prevent any disease or medical or developmental condition.
The App does not provide medical advice and is not a substitute for professional medical or developmental evaluation, advice, diagnosis, or treatment.
Every child develops differently, and milestone checklists describe general patterns, not rules. Reaching or not reaching a milestone by a given age does not, by itself, indicate that anything is right or wrong with your child.
Always consult your pediatrician or a qualified health provider with any questions about your child’s health, development, or well-being. Never disregard or delay seeking professional advice because of something you saw in the App.
In an emergency, do not use the App — call your local emergency number or seek immediate medical care.

You acknowledge that any decisions you make based on information in the App are your own responsibility.

5. Your content stays on your device

Any information you enter into the App — including your child’s name, birth date, gender, avatar (initials or an optional profile photo), milestone progress, and vaccination records (your “Content”) — is stored only on your device.

We do not receive, upload, store, access, or retain a copy of your Content.
We claim no ownership of and no rights in your Content. It is yours.
Because your Content never reaches us, we cannot retrieve, restore, back up, export, or recover it. You are responsible for your own device and for keeping any backups you want. If you uninstall the App or use “Delete all data,” your Content is permanently removed and cannot be recovered by us.

Our handling of information is described in the Privacy Policy at https://d2xenterprises.com/services/mobile-apps/baby-nova/privacy-policy/, which is incorporated into these Terms by reference.

6. Intellectual property

The App and brand. The App itself — including its software, design, layout, look and feel, text (other than the underlying CDC source material), graphics, icons, the name “Baby Nova,” and all related trademarks and branding — is owned by D2X Enterprises or its licensors and is protected by intellectual property laws. Except for the license in Section 2, no rights are granted to you.
CDC source material. The developmental milestone information is derived from materials of the U.S. Centers for Disease Control and Prevention, which are generally in the public domain. Our particular selection, arrangement, wording, translation, and presentation of that material within the App are part of the App and are protected as described above. D2X Enterprises is not affiliated with, endorsed by, or sponsored by the CDC.
Your Content. As stated in Section 5, your Content remains yours; we claim no rights in it.

7. Free app; availability; changes

The App is provided free of charge. We may modify, update, suspend, or discontinue the App (or any feature of it) at any time, with or without notice. We are not liable to you for any modification, suspension, or discontinuation of the App. New versions may be subject to updated Terms.

8. Third-party services and app stores

The App is distributed through third-party app stores and runs on third-party operating systems and devices. Your use of those platforms is governed by their own terms. The App’s optional analytics feature uses a third-party analytics processor as described in the Privacy Policy. We are not responsible for third-party platforms, services, or devices.

9. Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, D2X ENTERPRISES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (a) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) THE MILESTONE OR OTHER INFORMATION IN THE APP IS COMPLETE, ACCURATE, CURRENT, OR SUITABLE FOR YOUR CHILD’S PARTICULAR CIRCUMSTANCES; OR (c) ANY DEFECTS WILL BE CORRECTED. THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE, AS STATED IN SECTION 4.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, D2X ENTERPRISES AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP, INCLUDING ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON INFORMATION IN THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF D2X ENTERPRISES ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00). BECAUSE THE APP IS PROVIDED FREE OF CHARGE, THIS ALLOCATION OF RISK IS A FUNDAMENTAL PART OF THESE TERMS.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless D2X Enterprises and its officers, members, employees, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your misuse of the App or your violation of these Terms or of any applicable law or third-party right.

12. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania and the applicable laws of the United States, without regard to conflict-of-laws principles. You agree that the exclusive venue for any dispute not otherwise subject to a different agreed process will be the state or federal courts located in the Commonwealth of Pennsylvania, and you consent to the personal jurisdiction of those courts. This governing-law and venue selection applies to the maximum extent permitted; if you are a consumer, it does not deprive you of the protection of mandatory provisions of the law of your place of residence.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above and post the updated Terms at:

Your continued use of the App after updated Terms take effect means you accept them. If you do not agree to the updated Terms, stop using the App.

14. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and D2X Enterprises regarding the App and supersede any prior understandings.
Severability. If any provision is held unenforceable, the remaining provisions stay in effect, and the unenforceable provision will be enforced to the maximum extent permitted.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Survival. Sections that by their nature should survive termination (including Sections 4, 5, 6, 9, 10, 11, and 12) survive.
